Terms of Service

1. Agreement to Terms
By accessing or using CertyPay (“the Platform”), a product of Certitude, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.
2. Description of Service
CertyPay is an event payments platform that enables event organisers to create events, sell tickets, collect payments (including instalment payments), and verify attendees at the gate via QR codes. Payments are processed by Paystack and settled directly to the organiser’s bank account.
3. Eligibility
- You must be at least 18 years old to use CertyPay
- Event organisers must complete identity verification (KYC) before publishing events
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the security of your account credentials
4. User Accounts
4.1 Account creation
You may create an account using the authentication methods we provide. You agree to provide truthful information and keep your account details up to date.
4.2 Organisations
Organisers create organisations to manage events. The person who creates an organisation is the Owner. Owners may invite others as Admins (can manage events) or Observers (view-only access). Owners are responsible for the actions of all members within their organisation.
4.3 Account termination
You may delete your account and organisations at any time, subject to settling any outstanding payments. We may suspend or terminate accounts that violate these terms.
5. Fees and Payments
5.1 Platform fee
CertyPay charges a percentage fee per transaction as displayed on the pricing page at the time of the transaction. The current standard rate is 6%, with a launch discount of 5%. This fee is deducted from each payment before settlement to the organiser.
5.2 Payment processing
All payments are processed by Paystack. CertyPay does not store payment card information. By using the Platform, you also agree to Paystack’s terms of service.
5.3 Settlement
Funds are settled to the organiser’s bank account as per Paystack’s settlement schedule (typically within 24 hours). CertyPay does not hold funds — settlement is handled entirely by Paystack.
5.4 Refunds
Refunds are the responsibility of the event organiser. CertyPay does not process refunds on behalf of organisers. When an event is cancelled, CertyPay will notify attendees and send refund request details to the organiser. Organisers are expected to process refunds to attendees directly.
6. Event Organisers
6.1 Responsibilities
As an event organiser, you agree to:
- Provide accurate event information (dates, location, pricing, descriptions)
- Deliver the event as described, or promptly notify attendees of changes or cancellations
- Process refunds to attendees in the event of cancellation
- Comply with all applicable local laws and regulations for your events
- Not use the Platform for fraudulent, illegal, or misleading events
6.2 KYC verification
Organisers must complete identity verification before publishing events. This is required to protect attendees and comply with financial regulations. KYC is processed by Smile ID and is valid for 12 months.
6.3 Instalment payments
Organisers who enable instalment payments are responsible for setting reasonable minimum first payment amounts and deadlines. Organisers decide how to handle attendees who have not completed full payment by the deadline.
7. Attendees
7.1 Ticket purchases
By purchasing a ticket, you enter into a transaction with the event organiser, not with CertyPay. CertyPay facilitates the payment but is not a party to the agreement between you and the organiser.
7.2 QR codes
QR codes issued for event entry are unique and non-transferable. Each QR code can only be used for check-in once. Sharing, duplicating, or tampering with QR codes may result in denial of entry.
7.3 Instalment payments
If you choose to pay in instalments, you are responsible for completing payment by the organiser’s deadline. Entry to the event may be subject to full payment at the organiser’s discretion.
8. Prohibited Uses
You may not use CertyPay to:
- Organise fraudulent, illegal, or misleading events
- Collect payments for events you do not intend to hold
- Launder money or facilitate any form of financial crime
- Impersonate another person or organisation
- Interfere with or disrupt the Platform’s operation
- Attempt to bypass security measures, including QR code verification
- Scrape, crawl, or harvest data from the Platform
- Use the Platform in any way that violates applicable laws
9. Intellectual Property
The CertyPay name, logo, and platform design are the property of Certitude. You may not use our branding without written permission. Content you upload (event details, images) remains yours, but you grant us a licence to display it on the Platform as needed to provide the service.
10. Limitation of Liability
CertyPay is a payment facilitation platform. We are not responsible for:
- The quality, safety, or legality of events listed on the Platform
- The accuracy of event information provided by organisers
- Disputes between organisers and attendees
- Refunds or compensation for cancelled events (this is the organiser’s responsibility)
- Loss or damage resulting from the use of the Platform, to the maximum extent permitted by law
Our total liability to you for any claim arising from your use of the Platform is limited to the fees you have paid to CertyPay in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless CertyPay, Certitude, and their employees from any claims, damages, or expenses arising from your use of the Platform or violation of these terms.
12. Dispute Resolution
Any disputes arising from these terms or your use of CertyPay will be resolved through good-faith negotiation first. If negotiation fails, disputes will be resolved through arbitration under the laws of Kenya.
13. Changes to Terms
We may update these terms from time to time. We will notify you of significant changes by email or by posting a notice on the Platform. Continued use of CertyPay after changes constitutes acceptance of the updated terms.
14. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
